12、檢驗與索賠：

賣方在發貨前由_________檢驗機構對貨物的品質、規格和數量進行檢驗，並出具檢驗證明書。

貨物到達目的的口岸後，買方可委託當地的商品檢驗機構對貨物進行復檢。如果發現貨物有損壞、殘缺或規格、數量與合同規定不符，買方須於貨到目的口岸的_________天內憑_________檢驗機構出具的檢驗證明書向賣方索賠。

第十條　付款條件

(1)買方在收到備貨電傳通知後或裝運期前30天，開立以賣方爲受益人的不可撤銷信用證，其金額爲合同總值的________%，計_______。中國銀行_______行收到下列單證經覈對無誤後，承付信用證款項(如果分運，應按分運比例承付)：

a.全套可議付已裝船清潔海運提單，外加兩套副本，註明“運費待收”，空白擡頭，空白背書，已通知到貨口岸中國對外貿易運輸公司。

b.商業發票一式五份，註明合同號、信用證號和嘜頭。

c.裝箱單一式四份，註明每包貨物數量、毛重和淨重。

d.由製造廠家出具並由賣方簽署的品質證明書一式三份。

e.提供全套技術文件的確認書一式兩份。

f.裝運後即刻通知買方啓運日期的電報/電傳副本一份。

(2)賣方在裝船後10天內，須掛號航空郵寄三套上述文件(f除外)，一份寄買方，兩份寄目的港中國對外貿易運輸公司。

(3)中國銀行收到合同________中規定的，經雙方簽署的驗收證明後，承付合同總值的_________%，金額爲__________。

(4)買方在付款時，有權按合同第15、18條規定扣除應由賣方支付的延期罰款金額。

(5)一切在中國境內的銀行費用均由買方承擔，一切在中國境外的銀行費用均由賣方承擔。

第十一條　裝運條款

(1)賣方必須在裝運期前45天，用電報/電傳向賣方通知合同號、貨物品名、數量，發票金額，件數，毛重，尺碼及備貨日期，以便買方安排訂倉。

(2)如果貨物任一包裝達到或超過重20噸，長12米、寬2.7米，高3米，賣方應在裝船前50天，向買方提供五份包裝圖紙，說明詳細尺碼和每件重量，以便買方安排運輸。

(3)買方須在預計船抵達裝運港日期前10天，通過賣方船名，預計裝船日期，合同號和裝運港船方代理，以便賣方安排裝船。如果需要更改載貨船隻，提前或推後船期，買方或船方代理應及時通知賣方。如果貨船未能在買方通知的抵達日期後30天內到達裝運港，從第31天起，在裝運港所發生的一切倉儲費和保險費由買方承擔。

(4)船按期抵達裝運裝港後，如果賣方未能備貨待裝，一切空倉費和滯期費由賣方承擔。

(5)在貨物越過船舷脫離吊鉤前，一切風險及費用由賣方承擔。在貨物越過船舷脫離吊鉤後，一切風險及費用由買方承擔。

(6)賣方在貨物全部裝運完畢後48小時內，須以電報/電傳通知買方合同號、貨物品名、數量、毛重、發票金額，載貨船名和啓運日期。如果由於賣方未及時電告買方，以致貨物未及時保險而發生的一切損失由賣方承擔。

第十二條　技術文件

(1)下述全套英文本技術文件應隨貨物發運：

a.基礎設計圖。

b.接線說明書，電路圖和氣/液壓連接圖。

c.易磨損件製造圖紙和說明書。

d.零備件目錄

e.安裝、操作和維修說明書。

(2)賣方應在簽訂合同後60天內，向買方或用戶掛號航空郵寄本條(1)款規定的技術文件，否則買方有權拒開信用證或拒付貨款。

第十三條　保質條款

賣方保證貨物系用上等的材料和一流工藝製成，嶄新、未曾使用，並在各方面與合同規定的質量、規格和性能相一致，在貨物正確安裝、正常操作和維修情況下，賣方對合同貨物的正常使用給予___________天的保證期，此保證期從貨物到達_______起開始計算。

第十四條　檢驗條款

(1)賣方/製造廠必須在交貨前全面、準確地檢驗貨物的質量、規格和數量，簽發質量證書，證明所交貨物與合同中有關條款規定相符，但此證明書不作爲貨物的質量、規格、性能和數量的最後依據。賣方或製造廠商應將記載檢驗細節和結果的書面報告附在質量證明書內。

(2)在貨物抵達目的港之後，買方須申請中國商品檢驗局(以下稱商檢局)就貨物質量、規格和數量進行初步檢驗並簽發檢驗證明書。如果商檢局的檢驗發現到貨的質量、規格或數量與合同不符，除應由保險公司或船方負責者外，買方在貨物到港後_____天有權拒收貨物，向賣方提出索賠。

(3)如果發現貨物質量和規格與合同規定不符，或貨物在本合同第13條所規定的保證期內證明有缺陷，包括內在缺陷或使用不良的原材料，買方將安排商檢局檢驗，並有權依據商檢證書向賣方索賠。

(4)如果由於某種不能預料的原因，在合同有效期內檢驗證書不及辦妥，買方須電告賣方延長商檢期限_________天。

第十五條　索賠

(1)如果賣方對貨物不符合本合同規定負有責任且買方按照本合同第13條和第14條規定，在檢驗和質量保證期內提出索賠時，賣方在徵得買方同意後，可按下列方法之一種或幾種理賠：

a.同意買方退貨，並將所退貨物金額用合同規定的貨幣償還買方，並承擔買方因退貨而蒙受的一切直接損失和費用，包括利息、銀行費用、運費、保險費、檢驗費、倉儲、碼頭裝卸及監管保護所退貨物的一切其他必要的費用。

b.按照貨物的質量低劣程度、損壞程度和買方蒙受損失的金額將貨物貶值。

c.用符合合同規定規格、質量和性能的部件替換有瑕疵部件，並承擔買方所蒙受的一切直接損失和費用。新替換部件的保質期須相應延長。

(2)如果賣方在收到買方索賠書後一個月之內不予答覆，則視爲賣方接受索賠。

第十六條　不可抗力

(1)簽約雙方中任何一方受不可抗力所阻無法履約，履約期限則應按不可抗力影響履約的期限相應延長。

(2)受阻方應在不可抗力發生或終止時儘快電告另一方，並在事故發生後14天內將有關當局出具的事故證明書掛號航空郵給另一方認可。

(3)如果不可抗力事故持續超過一百二十天，另一方有權用掛號航空郵寄書面通知，通知受阻方終止合同。通知立即生效。

第十七條　仲裁

(1)雙方對執行合同時發生的一切爭執均應通過友好協商解決。如果不能解決，則可訴諸仲裁。

(2)仲裁應提交中國國際經濟貿易仲裁委員會，根據該會的仲裁程序進行仲裁，也可提交雙方同意的第三國仲裁機構。

(3)仲裁機構的裁決具有最終效力，雙方必須遵照執行，仲裁費用由敗訴方承擔，除非仲裁機構另有裁定。

(4)仲裁期間，雙方須繼續執行合同中除爭議部分之外的其他條款。

第十八條　延期和罰款

如果賣方不能按合同規定及時交貨，除因不可抗力者外，若賣方同意支付延期罰款，買方應同意延期交貨。罰款通過在議付行付款時扣除，但罰款總額不超過延期貨物總值的5%，罰款率按每星期0.5%計算，少於七天者按七天計。如果賣方交貨延期超過合同規定船期十星期時，買方有權取消合同。儘管取消了合同，但賣方仍須立即向買方交付上述規定罰款。

第十九條　附加條款(如果上述任何條款與下列附加條款不一致時，應以後者爲準)
