甲方：

根據《中華人民共和國民法典》及有關規定，經雙方友好協商，達成一致意見，簽訂本合同。

一、甲方委託乙方製作服裝系列產品，具體規格型號、數量、單價及價格詳見附後清單。

二、產品質量標準、特殊工藝要求及費用負擔：。

三、交貨時間及方法：乙方收到甲方預付款個工作日內交貨，送達方式另行協商確定，交貨時由甲方確認，並在乙方的送貨單上簽字。

四、驗收標準及期限：甲方自收貨日內按樣衣標準進行驗收。如有質量問題，應在此間提出，逾期由甲方自行承擔。

五、包裝要求及費用負擔：

九、服務承諾：

1、產品交付使用一月內，如因乙方原因出現的產品質量問題，乙方負責調換、修改，費用由乙方負擔。

2、本次批量生產之後，如甲方提出增補製作要求，在布料規格質量及價格與本次產品相同的基礎上，乙方依樣衣標準制作，經雙方協商另簽訂合同。

十、違約責任：

1、乙方加工生產以甲方確認的樣衣爲準，中途如因甲方原因提出更換布料及款式、色彩等，由此產生

的責任及費用由甲方承擔並相應延長交貨日期。甲方未按約定支付預付款，乙方可以不予製作並相應延長交貨期限，直至甲方交付預付款後，按合同相應要求開始製作;甲方未按約定時間交付貨款，甲方應按欠交貨款的5%/月利率向乙方交納違約金。

2、中途如因乙方原因提出的需要更換布料及款式、色彩等需徵得甲方同意，否則由此產生的的責任及費用由乙方承擔，如需延長交貨日期，由雙方另行協商。

十一、由於不可抗力災害和確非一方本身的原因而不能履行合同時，可以免除違約責任。

十二、其他未盡事宜，甲乙雙方協商解決。

十三、本合同一式二份，雙方各執一份，自雙方簽字之日生效。交易完畢本合同自行作廢。

force majeure： 

either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. however, the party affected by the event of force majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached, the case in dispute shall then be submitted to the foreign trad arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decesion made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party, unless otherwise awarded.
